END USER LICENSE AGREEMENT

Please read these terms and conditions carefully before using IDENTI3 Profiling and its range of products by IDENTI3 International Pte Ltd (“Licensor”), including any associated software, website, materials, and documentation (collectively referred to as the “Software”).

By accessing or using our software, you (“Licensee”) acknowledge and agree to be bound by the terms and conditions outlined below. If you do not agree to these terms, please refrain from using our software.

1. LICENSE GRANT
   • Subject to the terms and conditions of this Agreement, Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the Software for the Licensee’s internal business purposes. The license is limited to the number of authorized users as specified in the applicable purchase order.
2. RESTRICTIONS
   • Licensee shall not:
     • Modify, adapt, alter, translate, or create derivative works of the Software.
     • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
     • Transfer, sublicense, lease, lend, or otherwise distribute the Software to any third party.
     • Use the Software for any purpose other than the intended use specified in the documentation.
     • Remove or alter any proprietary notices or labels on the Software.
3. SUPPORT AND UPDATES
   • Licensor may provide support and updates for the Software at its discretion. Licensee acknowledges that ongoing access to support and updates may require the payment of additional fees.
4. CONFIDENTIALITY
   • Licensee agrees to keep confidential all non-public information received from Licensor, including but not limited to the Software, documentation, and any communication related to the Software.
5. TERM AND TERMINATION
   • This Agreement is effective upon Licensee’s acceptance and shall continue until terminated. Licensor may terminate this Agreement immediately if Licensee breaches any of its terms. Upon termination, Licensee shall cease all use of the Software and return or destroy all copies of the Software.
6. INTENDED USE
   • This software is intended for legal purposes only. Any malicious or illegal use is strictly prohibited. The user assumes full responsibility for their usage.
   • Any unlawful use is prohibited and the Licensee account will be terminated without compensation.
7. NOT A SUBSTITUTE FOR PROFESSIONAL HELP
   • This software is not a substitute for professional assistance.Users are strongly advised to seek the assistance of a qualified and licensed professional, such as a medical doctor, psychiatrist, psychologist, or therapist, for an accurate diagnosis, evaluation, and appropriate treatment options.
8. DISCLAIMER OF WARRANTIES
   • THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.
   • IDENTI3’S SOFTWARE, WHILE DESIGNED WITH DILIGENCE, MAY NOT ACHIEVE ABSOLUTE ACCURACY DUE TO FACTORS INCLUDING BUT NOT LIMITED TO THE QUALITY OF THE RESPONDENT’S INPUT. IT IS IMPERATIVE TO RECOGNIZE THAT IDENTI3’S SOFTWARE SHOULD BE EMPLOYED AS A SUPPLEMENTARY TOOL AND NOT EXCLUSIVELY RELIED UPON AS THE SOLE FOUNDATION FOR CRITICAL DECISION-MAKING. USERS ARE ADVISED TO EXERCISE INDEPENDENT JUDGMENT AND CONSIDER ADDITIONAL FACTORS WHEN MAKING SIGNIFICANT DECISIONS.
9. LIMITATION OF LIABILITY
   • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. GOVERNING LAW
    • This Agreement shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflicts of law principles.
11. RIGHT TO DECLINE SERVICE
    • Acknowledging the worldwide scope of the Internet, IDENTI3 International Pte Ltd’s websites adhere to all applicable local, state, national, and international laws. IDENTI3 International Pte Ltd reserves the discretion to decline service to any individual without the obligation to provide a rationale.
12. MODIFICATION AND TERMINATION
    • The Licensor reserves the right to modify or terminate the software, its features, or these terms and conditions at any time without prior notice. It is the responsibility of the Licensee to review the latest terms and conditions regularly.
13. LINKS TO OTHER WEBSITES/ SOURCES
    • Some of IDENTI3 International Pte Ltd websites sites contain links to other sites whose information practices may be different from IDENTI3 International Pte Ltd websites. Users should consult the other site’s privacy notices, as IDENTI3 International Pte Ltd websites makes no warranties regarding the information that is submitted to, or collected by these other sites.

The following are trademarks belonging to IDENTI3 International Pte Ltd.

INTELLECTUAL PROPERTY

The Software and all intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, are owned by Licensor. This Agreement does not grant Licensee any rights to copyrights, trademarks, patents or patent applications related to the Software.

USE OF COPYRIGHTED MATERIALS

All site information and materials are copyrighted by IDENTI3 International Pte Ltd. All IDENTI3 product content, including but not limited to profiles, facilitator kits, videos, software, and online products is copyrighted material. All rights reserved. All materials are provided for noncommercial, personal use only on this site and may not be copied, duplicated, altered, or transferred to any website or medium whatsoever.

Terms and Conditions of Content and Copyright Use:

1. All materials on IDENTI3 International Pte Ltd websites are copyrighted and may not be used except as provided in these Terms and Conditions without the written permission of IDENTI3 International Pte Ltd.

2. The user shall use IDENTI3 International Pte Ltd websites for lawful purposes only.
